Terms of Service

Effective 4 March 2026

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Kernel Service platform, including the website (kernelservice.com), web application (app.kernelservice.com), and API (collectively, the "Service"), operated by Kernel Service Pty Ltd ("we", "us", "Kernel Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. The Service

Kernel Service is an AI agent orchestration platform. It enables you to deploy AI agents that operate across your connected business software systems — performing tasks such as sending emails, managing calendar events, processing data, and coordinating workflows on your behalf.

The Service uses third-party large language model (LLM) providers (including Anthropic, OpenAI, Google, and xAI) to process agent tasks. By using the Service, you acknowledge that task data will be sent to these providers for processing. See our Privacy Policy for details.

3. Accounts

  • You must be at least 18 years old and represent a business entity to create an account.
  • You are responsible for maintaining the security of your account credentials, including passwords and API keys.
  • Each organisation should maintain one tenant. The Service enforces multi-tenant isolation — your data is completely separated from other tenants.
  • You must provide accurate and current account information and update it as necessary.
  • You are responsible for all activity that occurs under your account.

4. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Submit malicious prompts, attempt prompt injection, or otherwise try to manipulate AI agent behaviour beyond its intended function.
  • Circumvent safety controls, risk tier restrictions, or approval requirements.
  • Conduct automated scraping, crawling, or bulk data extraction from the platform.
  • Resell, sublicense, or redistribute access to the Service without a partner agreement.
  • Transmit malware, viruses, or other harmful code.
  • Interfere with the Service's infrastructure or other users' access.

We may suspend or terminate accounts that violate these terms, with or without notice depending on the severity of the violation.

5. AI agents and connected systems

The Service enables AI agents to take actions within your connected third-party systems. You should understand the following:

  • Agents act on your behalf. When an agent sends an email, updates a record, or performs any action in a connected system, it does so as your authorised representative.
  • You control the scope of access. You choose which systems to connect and what permissions to grant. Agents can only access integrations you have connected and authorised.
  • Risk tiers govern autonomy. Actions are classified as low, medium, or high risk. High-risk actions (such as external communications, financial transactions, or data deletion) require your explicit approval before execution.
  • You must review high-risk actions. When an agent proposes a high-risk action, you are responsible for reviewing the proposed action and payload before approving it.
  • We are not liable for approved actions. If you approve an agent's proposed action and it has unintended consequences, the responsibility rests with the approver.

6. Third-party integrations

  • When you connect a third-party service (such as Gmail, Xero, or Slack) via OAuth, the authorisation relationship is between you and that third-party provider.
  • We access only the data and functionality you authorise through the OAuth scope.
  • We are not responsible for the availability, accuracy, or functionality of third-party services.
  • You are responsible for complying with the terms of service of any third-party systems you connect.
  • You may disconnect any integration at any time. On disconnection, we revoke and delete the associated credentials.

7. Billing and credits

  • The Service offers subscription plans billed monthly or annually via Stripe.
  • Agent tasks consume credits. Credit weights vary by task complexity and the LLM model used. Credit consumption is visible in your dashboard.
  • We may adjust pricing with at least 30 days written notice. Changes apply at the start of your next billing period.
  • Accounts with overdue payments may be suspended after a 7-day grace period.
  • Refunds are handled on a case-by-case basis. Contact [email protected].

8. Intellectual property

  • Our property. The Kernel Service platform — including its software, infrastructure, agent framework, personas, documentation, and branding — is owned by Kernel Service Pty Ltd and protected by intellectual property laws.
  • Your data. You retain all rights to your data. Outputs generated by AI agents on your behalf (such as drafted emails, reports, or analyses) belong to you.
  • Licence to us. You grant us a limited, non-exclusive licence to process your data solely to provide and improve the Service. This licence terminates when you delete your account.

9. Data and privacy

Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms. Our security practices are described on our Security page.

10. Availability

We aim to maintain high availability but do not guarantee uninterrupted access to the Service. The Service is currently in beta.

  • We may perform maintenance that temporarily affects availability. Where possible, we will provide advance notice.
  • We are not liable for downtime caused by third-party providers (including LLM providers, AWS, or connected integrations).
  • Service level agreements (SLAs) may be offered to customers on specific plans in the future.

11. Limitation of liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total aggregate liability for any claim arising from or related to the Service is limited to the fees you paid to us in the 12 months preceding the claim.
  • Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including the Australian Consumer Law.

12. Indemnification

You agree to indemnify and hold harmless Kernel Service Pty Ltd, its officers, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service or violation of these Terms.
  • Content you process through the Service or actions taken by agents you have configured and approved.
  • Your violation of any third-party rights or applicable laws.

13. Termination

  • You may cancel your account at any time from your account settings or by contacting us.
  • We may terminate or suspend your account with 30 days notice, or immediately in the case of material breach of these Terms.
  • On termination, your data will be available for export for 30 days. After that period, we will delete your data from our active systems, subject to any legal retention requirements.
  • Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

14. Governing law

These Terms are governed by the laws of Queensland, Australia. Any disputes arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

15. Changes to these terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days notice via email or a prominent notice on the Service. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
